3. Engagement & Payment

All service engagements are subject to a separate engagement letter or agreement that outlines the specific scope, deliverables, timeline, and fees. Payment terms are specified in each engagement agreement. We reserve the right to pause or discontinue services if payment is not received according to the agreed terms.

4. Confidentiality

We treat all client information as confidential. Financial data, business records, and any proprietary information shared during the course of an engagement will not be disclosed to third parties without your written consent, except as required by law. This obligation survives the termination of any engagement.

5. No Broker or Agent Relationship

Raymond Leigh & Partners is not a business brokerage, investment bank, or registered broker-dealer. We do not list businesses for sale, represent buyers or sellers in transactions, or earn commissions on the sale of businesses. When we introduce clients to advisors or capital partners through our Advisor Match service, we act as a facilitator — not as a party to the transaction.

6. Limitation of Liability

To the fullest extent permitted by law, Raymond Leigh & Partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services or reliance on any information provided. Our total liability for any claim arising from an engagement shall not exceed the fees paid for that specific engagement.

7. Intellectual Property

All materials, frameworks, templates, reports, and content produced by Raymond Leigh & Partners remain our intellectual property unless explicitly transferred in writing. Clients receive a license to use deliverables for their own internal business purposes. Reproduction, distribution, or resale of our materials without written consent is prohibited.
